01Agreement to Terms

By accessing our website (oyucon.com), communicating with our team via WhatsApp/email, submitting an inquiry, or commissioning any of our website packages (Starter, Business, E-Commerce, Custom), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

If you are entering into this agreement on behalf of a company, business entity, or startup, you represent that you possess the legal authority to bind that entity to these Terms.

02Advance Payment Terms & Project Kickoff

Engineering high-performance software requires immediate scheduling of senior architects, UI/UX designers, and cloud infrastructure. Therefore, all development contracts are subject to our strict advance payment framework:

• Realization Before Kickoff: No project discovery, wireframe preparation, prototype setup, or software engineering will commence until the agreed advance payment (typically 50% for small fixed packages like Starter or Business, and 40%–50% for custom contracts) is fully cleared in Oyucon's designated account.
• Non-Refundable Upfront Deposit: Once work has officially started (including architecture meetings, domain/hosting configuration, design wireframes, or code repository initialization), the advance payment is non-refundable, as detailed in our Payment & Refund Policy.
• Milestone Payments: Remaining project balances must be remitted promptly upon the completion and approval of each development milestone. Invoices not paid within 7 calendar days may result in a pause on staging access and timeline commitments.

03Package Scopes, Deliverables & Revisions

Our fixed packages have defined deliverables clearly outlined prior to kickoff:

Out-of-Scope Requests: Any request for additional functionality, payment gateway switches, or structural redesigns beyond the agreed scope will be quoted separately as a change order.

04Intellectual Property Rights & Code Ownership

We pride ourselves on granting 100% intellectual property ownership to our clients, subject to full settlement:

05Client Responsibilities & Project Timelines

To ensure delivery within our committed 5–10 day turnaround for websites or agreed custom sprints, the client agrees to:

• Provide high-resolution logos, brand assets, product photos, and draft copy in a timely manner.
• Review staging demos and provide compiled feedback within 5 business days of each demo release.
• Ensure that all content, copy, and images provided do not infringe on any third-party copyrights or trademarks.
• Dormancy Clause: If the client fails to communicate or provide required assets for greater than 30 consecutive calendar days without prior written notice, the project will be paused, advance payments will be non-refundable, and a reactivation fee may be charged to re-allocate engineering capacity.

06Third-Party Services & Hosting

While Oyucon configures and assists with deployments, third-party services (such as domain registrars, cloud hosts like AWS/Vercel/Hostinger, payment gateways like Razorpay/Stripe, and email/SMS APIs) are governed by their respective independent terms. Oyucon is not liable for third-party outages, price escalations, or policy modifications.

07Limitation of Liability

Under no circumstances shall Oyucon, its directors, developers, or contractors be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of business profits, data corruption, or operational interruption) arising out of or related to your use of our deliverables.

To the maximum extent permitted by Indian law, Oyucon's total cumulative liability for any claim arising under these terms shall not exceed the actual fees paid by the client to Oyucon for the specific deliverable giving rise to the claim.

08Governing Law & Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of Odisha, India, without regard to its conflict of law provisions. Both parties agree that any legal action, dispute, or proceeding shall be subject to the exclusive jurisdiction of the competent courts located in Odisha, India.
